AIA Licensed Practice Standards

Terms of Engagement

KnightLedger • Practical Accountancy. Reliable Numbers. Clear Compliance.

Effective Date: 1 September 2026 Last Updated: 1 September 2026 Professional Body: AIA
01

Introduction

These Terms of Engagement set out the general terms under which KnightLedger provides accountancy, bookkeeping, payroll, taxation, year-end accounts, company secretarial and related professional services.

They are intended to be read together with the individual Engagement Letter, service schedule, proposal or quotation issued to each client.

The precise services to be provided, the responsibilities of KnightLedger and the client, and the applicable fees will be confirmed in the individual engagement documentation.

Notice: These Terms of Engagement do not, by themselves, create an obligation for KnightLedger to provide services that have not been specifically agreed.
02

Professional Status and Standards

KnightLedger operates as a professional accountancy practice under the applicable practising arrangements of the Association of International Accountants (AIA).

KnightLedger is committed to conducting its professional activities in accordance with applicable legislation, regulatory requirements, professional standards and the ethical requirements applicable to AIA members in practice.

AIA members are required to comply with the AIA Constitution and its Code of Ethics. The AIA ethical framework incorporates the fundamental principles of:

✓
Integrity: Being straightforward and honest in all professional relationships.
✓
Objectivity: Not compromising professional judgment due to bias or conflict of interest.
✓
Professional Competence & Due Care: Attaining and maintaining professional knowledge and skill.
✓
Confidentiality: Respecting the confidentiality of information acquired through professional engagements.
✓
Professional Behaviour: Complying with relevant laws and regulations and avoiding conduct that discredits the profession.

KnightLedger will seek to apply these principles throughout its professional relationship with clients.

KnightLedger will also comply with applicable accounting, taxation, anti-money laundering, data protection and other legal and regulatory requirements relevant to the services provided.

03

Engagement Documentation

Before commencing an engagement, KnightLedger will normally provide the client with an Engagement Letter, proposal, quotation or other written agreement.

The Engagement Letter and applicable service schedules form part of the agreement between KnightLedger and the client.

Where there is a conflict between these general Terms of Engagement and a specific provision in an individual Engagement Letter, the specific provision will take precedence for that engagement.

04

Acceptance of an Engagement

KnightLedger reserves the right to decline an engagement where it considers that:

  • • It does not have the necessary competence or resources;
  • • The engagement would create an unacceptable conflict of interest;
  • • Appropriate client identification cannot be completed;
  • • Anti-money laundering requirements cannot be satisfied;
  • • The client has not provided sufficient information;
  • • The engagement would create unacceptable legal, regulatory or professional risks; or

However, deadlines can only be met where KnightLedger receives complete and accurate information and any required approvals sufficiently in advance.

KnightLedger cannot accept responsibility for penalties, interest or other consequences arising from information being provided late or from the client's failure to approve or make payments by the applicable deadline, except where caused by KnightLedger's failure to exercise reasonable professional care.

19 & 20

Confidentiality & Data Protection

Duty of Confidentiality

KnightLedger will maintain the confidentiality of client information in accordance with applicable law and professional requirements. Information will not normally be disclosed to third parties without appropriate authority. However, disclosure may occur where:

  • • Required by law;
  • • Required by a regulator or professional body;
  • • Required for anti-money laundering or other regulatory purposes;
  • • Necessary to provide the agreed services;
  • • Necessary to protect KnightLedger's legal rights;
  • • Necessary to prevent fraud or other unlawful activity; or
  • • Otherwise permitted by law.

The duty of confidentiality continues after termination of the engagement.

UK GDPR & Data Protection

KnightLedger will process personal information in accordance with applicable UK data protection legislation. The KnightLedger Privacy Policy explains how personal information is collected, used, stored and protected.

Where KnightLedger processes personal data on behalf of a client, appropriate data protection arrangements will apply. The client agrees to provide information lawfully and to have appropriate authority to provide personal information relating to employees, customers, suppliers and other individuals where required.

21 - 23

Communications, Software Platforms & AI

Electronic Communications

KnightLedger may communicate with clients by email, telephone, secure client portals, accounting software, electronic signature platforms and other agreed electronic systems. Electronic communications involve inherent risks, including interception, delay, corruption or delivery failure. KnightLedger will take reasonable measures to protect confidential information. Clients should notify KnightLedger if a particular communication requires enhanced security.

Accounting Software and Third-Party Platforms

KnightLedger may use third-party accounting, payroll, document management, cloud storage, electronic signature and other technology platforms. Clients may be required to provide access to systems where this is necessary to provide the agreed services. KnightLedger will take reasonable steps to select appropriate technology providers and protect client information. However, KnightLedger cannot accept responsibility for failures caused solely by third-party systems outside its reasonable control.

AI and Automation

KnightLedger may use automation, AI and other technology as part of its business processes or service delivery. Where such technology is used, KnightLedger will consider applicable professional, ethical, confidentiality, data protection and security requirements.

KnightLedger will maintain appropriate professional oversight and will not treat automated output as a substitute for professional judgement where professional judgement is required. KnightLedger will take reasonable steps to ensure that confidential client information is not improperly disclosed through the use of technology or AI systems.

24 - 26

Competence, Conflicts & Third-Party Reliance

Professional Competence

KnightLedger will only undertake professional work where it has appropriate competence, knowledge and resources or where appropriate specialist assistance is obtained. Where a matter falls outside KnightLedger's expertise, KnightLedger may recommend that the client obtains advice from an appropriately qualified specialist (e.g. legal, specialist taxation, valuation, investment, pensions, or insolvency advice).

Conflicts of Interest

KnightLedger will take reasonable steps to identify and manage actual or potential conflicts of interest. Where a conflict arises, KnightLedger may put appropriate safeguards in place, obtain informed consent, restrict access to information, decline to act, or terminate an engagement. KnightLedger will not allow a conflict of interest to compromise professional objectivity or confidentiality.

Reliance on KnightLedger's Work

Work prepared by KnightLedger is prepared for the client and for the purpose identified in the engagement. Unless expressly agreed in writing, third parties should not rely upon KnightLedger's work. KnightLedger does not accept responsibility to third parties who obtain or rely upon documents prepared for a client, except where such responsibility has been expressly agreed in writing or cannot legally be excluded.

27 & 28

Insurance & Limitation of Liability

Professional Indemnity Insurance

KnightLedger maintains professional indemnity insurance in accordance with applicable professional and regulatory requirements. Information concerning KnightLedger's professional indemnity insurance may be provided as required.

Limitation of Liability

Nothing in these Terms of Engagement excludes or restricts liability that cannot legally be excluded or restricted.

Subject to applicable law and the terms of the relevant Engagement Letter, KnightLedger will not normally be liable for losses arising from:

  • • Inaccurate or incomplete information supplied by the client;
  • • Failure by the client to provide information in sufficient time;
  • • Failure by the client to follow professional advice;
  • • Decisions made by the client or its directors;
  • • Third-party system failures;
  • • Events outside KnightLedger's reasonable control; or
  • • Consequential or indirect loss, to the extent legally permissible.

Any agreed financial limitation of liability will be stated in the individual Engagement Letter. Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be limited.

29 & 30

Intellectual Property & Records Retention

Intellectual Property

Unless otherwise agreed, KnightLedger retains ownership of its templates, processes, methodologies, systems, working papers, proprietary materials and other intellectual property. Documents specifically prepared for a client may be used by that client for the purpose for which they were prepared. KnightLedger's proprietary materials may not be commercially reproduced or distributed without permission.

Records and Working Papers

KnightLedger will retain appropriate records and working papers in accordance with applicable legal, professional and regulatory requirements. Original records belonging to the client remain the client's property.

KnightLedger may retain copies of records where necessary for professional purposes, regulatory requirements, legal obligations, insurance purposes, quality assurance, record keeping, or protection of KnightLedger's legitimate interests.

31

Complaints Handling Procedure

KnightLedger aims to provide a high standard of professional service. If a client is dissatisfied, the client should initially raise the matter with KnightLedger so that it can be investigated and, where possible, resolved. Complaints will be handled fairly and objectively.

KnightLedger's internal complaints procedure will normally involve:

  1. Acknowledging the complaint;
  2. Reviewing the circumstances;
  3. Investigating the relevant issues;
  4. Discussing the matter with the client where appropriate;
  5. Providing a formal response; and
  6. Taking appropriate action where required.
32 - 34

Termination & Events Outside Control

Termination by the Client

The client may terminate the engagement by providing written notice in accordance with the individual Engagement Letter. The client remains responsible for fees properly incurred up to termination, outstanding invoices, work completed before termination, and any agreed termination or transition costs. Where appropriate, KnightLedger will provide reasonable assistance in transferring relevant records to a successor adviser.

Termination by KnightLedger

KnightLedger may terminate or suspend an engagement where fees remain unpaid, the client fails to provide required information, fails to cooperate, information provided is materially inaccurate or misleading, required AML or identity checks cannot be completed, a conflict of interest arises, continuing to act would breach professional or legal requirements, the client requests work outside KnightLedger's competence, the professional relationship has irretrievably broken down, or other circumstances make continued engagement inappropriate. Where appropriate, KnightLedger will provide reasonable notice.

Events Outside Our Control (Force Majeure)

KnightLedger will not be responsible for failure or delay caused by circumstances outside its reasonable control. These may include cyber incidents, major technology failures, internet or telecommunications failures, third-party platform outages, government system failures, natural disasters, fire, flood, public emergencies, industrial disputes, or other circumstances outside KnightLedger's reasonable control. KnightLedger will take reasonable steps to minimise disruption.

35 - 37

Changes, Governing Law & Jurisdiction

Changes to These Terms

KnightLedger may update these Terms of Engagement to reflect changes in legislation, regulatory requirements, professional requirements, changes in professional standards, changes to services, changes in technology, or changes to KnightLedger's business practices. Where a material change affects an existing client, KnightLedger will provide appropriate notification and, where necessary, issue revised engagement documentation.

Governing Law and Jurisdiction

Unless otherwise stated in the individual Engagement Letter, these Terms of Engagement shall be governed by the laws of England and Wales. The courts of England and Wales shall have jurisdiction in relation to disputes arising from the engagement, subject to any mandatory legal or regulatory requirements.
